Terms of Service

By accessing our website, requesting a free audit, or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.

You represent that you are at least the age of majority in your jurisdiction and that, if you are using the Services on behalf of a business, you have the authority to bind that business to these Terms.

PRX Local offers a free visibility audit and subscription software and services designed to help local businesses improve their visibility on Google and related platforms. Features may include audit reporting, Google Business Profile optimization, review workflows, rank tracking, citation monitoring, reporting, and related tools.

Free audits and any analysis, recommendations, or projections we share are provided for informational purposes only. Search visibility depends on many factors outside our control. We do not guarantee any particular rankings, traffic, calls, leads, revenue, or other results.

You agree to provide accurate information and to cooperate as reasonably needed for us to deliver the Services. Where the Services involve your Google Business Profile or other third-party accounts, you authorize us to access and manage those accounts on your behalf to the extent necessary to provide the Services, and you confirm that you have the right to grant that access.

You are responsible for the accuracy of information you post through the Services and for complying with the rules of any third-party platform you connect.

Pricing for the Services, billing frequency, renewal terms, cancellation, and any refunds are governed by the applicable checkout page or the signed order or agreement between you and PRX Local. Those documents control if there is any conflict with these Terms with respect to fees.

Unless the applicable order or checkout page says otherwise, subscriptions continue until cancelled in accordance with those terms, and fees already paid are not refundable except as required by law or expressly stated in your order.

The Services depend on third-party platforms, including Google and Google Business Profile. Those platforms may change their features, policies, or availability at any time. We are not responsible for changes, outages, restrictions, or actions taken by third-party platforms, and such events may affect the Services or their results.

Google and Google Maps are trademarks of Google LLC. PRX Local is not affiliated with or endorsed by Google.

You agree not to misuse the Services. Among other things, you will not: (a) violate any applicable law or third-party rights; (b) attempt to gain unauthorized access to the Services or any related systems; (c) interfere with or disrupt the Services; (d) upload or transmit malicious code; (e) submit false, misleading, or infringing content; or (f) use the Services to generate fake reviews or otherwise manipulate reviews or platform signals in violation of the applicable platform's rules.

The Services, including the PRX Local software, websites, dashboards, reports, and related materials, are owned by PRX Local or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription for your internal business purposes.

You retain ownership of the content and data you provide. You grant us the rights necessary to host, process, and use that content and data to provide and improve the Services.

Each party will use reasonable care to protect information the other shares that is marked or should reasonably be understood to be confidential. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

We may suspend or terminate your access to the Services if you materially breach these Terms, if required by law, or if we reasonably believe your use poses a security or legal risk. You may stop using the Services at any time. Termination does not relieve you of amounts owed for the Services already provided.

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, or produce specific results.

To the maximum extent permitted by applicable law, in no event will PRX Local or its affiliates, officers, employees, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to PRX Local for the Services in the three (3) months immediately preceding the event giving rise to the liability or (b) one hundred Canadian dollars (CAD $100). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

You will defend, indemnify, and hold harmless PRX Local and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your content or data, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-laws principles. The courts located in Ontario, Canada, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
